Proxy Voting Policies & Records

In some cases, Amundi US has the power to vote proxies on behalf of its clients. When Amundi US has been delegated proxy-voting authority, Amundi US carefully considers each proxy item and casts the proxy votes in a manner consistent with the best interest of its clients. Amundi US will vote all proxies presented to it in a timely manner on behalf of its clients.
 

Overview

The Proxy Voting Policies and Procedures are designed to complement Amundi US's investment policies and procedures regarding its general responsibility to monitor the performance and / or corporate events of companies that are issuers of securities held in accounts managed by Amundi US. These  Proxy Voting Policies  summarize Amundi US's position on a number of issues solicited by underlying held companies.The policies are guidelines that provide a general indication on how Amundi US would vote but do not include all potential voting scenarios.

Amundi US's Proxy Voting Procedures detail monitoring of voting, exception votes, and review of conflicts of interest and ensure that case-by-case votes are handled within the context of the overall guidelines (i.e., best interest of client).The overriding goal is that all proxies for US and non-US companies that are received promptly will be voted in accordance with Amundi US's policies or specific client instructions. All shares in a company held by Amundi US-managed accounts will be voted alike, unless a client has given us specific voting instructions on an issue or has not delegated authority to us or the Director of Portfolio Management US determines, after consultation with the Proxy Voting Oversight Group, that the circumstances justify a different approach.
